Pokorný, Wagner & Partners advised Czech Airlines on divestment transaction

Pokorný, Wagner & Partner advised Czech Airlines (CSA), the flagship airline carrier of the Czech Republic which provides air connections to most World and European capitals with more then eighty years of experience in air carriage, on its restructuring program including the divestment transaction of the company CSA.

The divestment transaction carried out by Pokorný, Wagner & Partner consisted in the sale of the 100 % ownership interest in the airline’s subsidiaries Air Cargo Terminal and Air Czech Catering which were newly established by contributions from the non-core business assets of CSA. The newly established subsidiaries were sold to the new owners which were the winners of the tendering procedure carried out by CSA (i.e. Air Cargo Terminal to Central European Handling and Air Czech Catering to Alpha Overseas Holdings). Pokorný, Wagner & Partner handled the divestment transaction including the preparation of transaction documentation, the ensuring of procedural organization (with the cooperation of an investment advisor), the supplying of necessary licensees, and negotiations with interested investors. The advice provided by the Pokorný, Wagner & Partner team to CSA on its restructuring program was drawn from years of experience in successfully handling acquisition deals and other restructuring activities.
